8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE FEDERAL AND STATE LAW, IN NO EVENT SHALL CHURCH'S CHICKEN, ITS AFFILIATES, SUBSIDIARIES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES;
• LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES;
• PERSONAL INJURY OR PROPERTY DAMAGE OF ANY NATURE;
• UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY PERSONAL INFORMATION STORED THEREIN;
• INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SITE;
• BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE TRANSMITTED THROUGH THE SITE BY ANY THIRD PARTY;

IN NO EVENT SHALL CHURCH'S CHICKEN'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO CHURCH'S CHICKEN IN THE NINETY (90) DAYS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00 USD).

Some states do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitation may not apply to you in its entirety.

9. Indemnification

You agree to defend, indemnify, and hold harmless Church's Chicken and its affiliates, subsidiaries, officers, directors, employees, agents, contractors, licensors, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees) that arise out of or relate to:

• Your violation of any applicable law, rule, or regulation;
• Your violation of any rights of a third party, including intellectual property rights, privacy rights, or contractual rights;

11. Dispute Resolution and Arbitration

11.1 Informal Resolution

Before initiating any formal dispute proceeding, you agree to first contact Church's Chicken informally by sending a written notice describing the nature of the dispute and your desired resolution to [email protected]. We will attempt to resolve the dispute informally within thirty (30) calendar days of receipt of your notice. If the dispute cannot be resolved informally within that period, either party may proceed with formal dispute resolution.

11.2 Binding Arbitration

Except for claims that qualify for small claims court and claims for injunctive or other equitable relief for intellectual property infringement, you and Church's Chicken agree that any dispute, claim, or controversy arising out of or relating to these Terms or to your use of the Site or services (including the interpretation, enforceability, applicability, or formation of these Terms) shall be resolved exclusively by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, which are available at www.adr.org.

The arbitrator shall have the authority to award any remedy that would be available in a court of law. The arbitration shall take place in the United States, and the arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

11.3 Class Action Waiver

YOU AND CHURCH'S CHICKEN AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. If this class action waiver is found to be unenforceable, then the entirety of the arbitration agreement in this Section shall be null and void.

11.4 Jury Trial Waiver

TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AND CHURCH'S CHICKEN EACH WAIVE THE RIGHT TO A TRIAL BY JURY FOR ANY CLAIM SUBJECT TO THESE TERMS.
